Consultancy Services
Customer requirements should be recorded in full or in brief before commencement of the Consultancy Period.
Hours and Locations
Payment is required for all time spent travelling to and from any location covered in the Consultancy Agreement, and for all time spent at the location. Consultancy Services may be taken up at one or more locations, including premises of Mike Barnes. Details of all travel will be itemised upon invoice. Mike Barnes reserves the right to refuse travel to locations not specified in the Consultancy Agreement.
Expenses
All reasonable expenses - meals taken within the Consultancy Period, including refreshments, when away from Mike Barnes's presmises; transit expenses (including but not limited to car, rail, bus transportation and tolls); and hotel charges - must be met either by the Customer when incurred, or else will be included in the Invoice.
Payment
Payment must be made by the Friday of the week following completion of the Consultancy Period or, where the period is longer than 5 working days, interim payment must be made by the Friday of the week following the commencement of work and each successive Friday until the end of the consultancy period. An invoice will be provided at the end of the consultancy period, and where appropriate at the end of each working week. The hourly, daily or weekly rate will be specified on the Consultancy Agreement.
Intellectual Property Rights
Except where formally agreed in writing, all materials provided remain the property of Mike Barnes and are subject to Non Disclosure Agreement where marked "Mike Barnes Confidential". Such material may be distributed within the Customer unless specifically agreed otherwise in writing.
All material created specifically for the Customer will remain the property of the Customer unless formally agreed in writing.
Customer material marked with privacy markings will not be disclosed to any non-approved party by Mike Barnes, and any materials taken with such markings will be disposed of in an appropriate manner at the conclusion of the Consultancy Period.
Confidentiality
Except where formally agreed in writing, all materials provided remain the property of Mike Barnes and are subject to Non Disclosure Agreement where marked "Mike Barnes Confidential". Such material may be distributed within the Customer unless specifically agreed otherwise in writing.
Terms used
- Consultancy Agreement: The document signed by Mike Barnes and the Customer which constitutes a legal contract to supply Consultancy Services.
- Consultancy Period: The period of time during which the Consultancy Agreement applies. This may be an hour or a number of consecutive hours, a day or a number of consecutive days, a week or a number of consecutive weeks, or a length of time during which Consultancy Services will be used on an ad hoc or regular basis.
- Consultancy Services: The services provided by Mike Barnes to the Customer, in-line with the requirements which are noted by the customer on the Consultancy Agreement.
- Customer: The recipient of the Consultancy Services, including the contracting party and all employees of the contracting party's organisation.
- Invoice: A detailed report of time spent and expenses incurred, including any taxes where appropriate.
- Non Disclosure Agreement: A written and co-signed document specifying confidentiality terms of Mike Barnes's intellectual property.
